Terms of Service

1. Acceptance of Terms

By accessing or using the website (quadrandtech.com), requesting architectural consultations, or engaging our software engineering services, you agree to be bound by these Terms of Service, all applicable laws and regulations of India, and any executed Master Services Agreements (MSAs) or Statements of Work (SOWs).

2. Scope of Services & Commercial Engagements

Quadrandtech provides enterprise software architecture, full-stack cloud engineering, AI agent integrations, and IT infrastructure modernisation services.

• Quotations & Estimates: Quotations issued through our platform or representative teams remain valid for 30 calendar days unless explicitly stated otherwise.
• Commercial Agreements: Specific milestones, deliverables, service level agreements (SLAs), and payment terms shall be governed by the respective executed SOW.
• Taxation & Statutory Invoicing: All domestic Indian invoices are subject to applicable GST (CGST/SGST or IGST) under HSN/SAC codes 998311–998319. International export of software services is executed under Letter of Undertaking (LUT) in compliance with Rule 96A of the CGST Rules, 2017.

3. Intellectual Property Rights (IPR)

Unless otherwise agreed in a written MSA:

• Custom Client Deliverables: Upon full and final settlement of all milestone dues, intellectual property rights in custom code, documentation, and specific artifacts developed solely for the client shall transfer to the client.
• Pre-Existing IP & Frameworks: Quadrandtech retains all rights, title, and interest in its proprietary developer frameworks, utility libraries, algorithms, reusable components, and architectural templates used during project delivery.
• Website Content: All branding, graphics, logos, typography, and site architecture on this website are the exclusive property of Quadrandtech Solutions Private Limited.

4. Confidentiality & Non-Disclosure

Both parties agree to protect and treat proprietary business information, source code, data schemas, and commercial pricing as strictly confidential, exercising no less than reasonable standard of care.

5. Limitation of Liability

To the maximum extent permitted by applicable Indian law, Quadrandtech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption, arising out of the use or inability to use our website or services.

6. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. In the event of any dispute arising out of or in connection with these Terms or commercial engagements:

• The parties shall first attempt to resolve the dispute amicably through good-faith executive discussions within 30 days.
• Unresolved disputes shall be submitted to arbitration under the Arbitration and Conciliation Act, 1996, conducted by a sole arbitrator mutually appointed, with seat and venue in Visakhapatnam, Andhra Pradesh, India.
• Subject to arbitration, the courts at Visakhapatnam, Andhra Pradesh shall have exclusive territorial jurisdiction.
